1. Agreement to Terms

Welcome to the websites of Advanced Safety & Energy, Inc., and its affiliate, Safety Academy (collectively, “ASE,” “we,” “us,” or “our”). These Terms and Conditions (“Terms”) govern your access to and use of our corporate websites, asesafety.com and safetyacademyplus.com, and all related content, features, and functionality offered on or through them (collectively, the “Sites”).

By accessing, browsing, or using the Sites, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must not access or use the Sites.

2. Intellectual Property Rights

The Sites and their entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by ASE, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

The names Advanced Safety & Energy™, Safety Academy™, and all related names, logos, product and service names, designs, and slogans are trademarks of ASE or its affiliates or licensors. You must not use such marks without the prior written permission of ASE. All other names, logos, product and service names, designs, and slogans on these Sites are the trademarks of their respective owners.

3. Use of Our Sites

You are granted a limited, non-exclusive, non-transferable, and revocable license to access and use the Sites for your personal, informational, non-commercial use only. You agree not to:

• Use the Sites in any way that violates any applicable federal, state, local, or international law or regulation.

• Use the Sites for the purpose of exploiting, harming, or attempting to exploit or harm minors in any way.

• Engage in any conduct that restricts or inhibits anyone’s use or enjoyment of the Sites, or which, as determined by us, may harm ASE or users of the Sites.

• Use any robot, spider, or other automatic device, process, or means to access the Sites for any purpose, including monitoring or copying any of the material on the Sites.

• Introduce any viruses, Trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful.

• Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Sites, the server on which the Sites are stored, or any server, computer, or database connected to the Sites.

• Reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Sites, except as is automatically cached by your web browser for display enhancement purposes.

4. Access to Training Services and Platforms

These Terms govern your use of our public-facing informational websites only. Your access to and use of the Safety Academy™ training platform and any other services, deliverables, or training materials provided by ASE are not governed by these Terms. Such access and use are governed by a separate commercial agreement between ASE and the respective customer (e.g., a Reseller Agreement or Master Services Agreement). The terms of any such customer agreement will prevail over any conflicting provisions in these Terms.

5. Third-Party Links

The Sites may contain links to other sites and resources provided by third parties. These links are provided for your convenience only. We have no control over the contents of those sites or resources and accept no responsibility for them or for any loss or damage that may arise from your use of them. If you decide to access any of the third-party websites linked to our Sites, you do so entirely at your own risk and subject to the terms and conditions of use for such websites.

6. Disclaimer of Warranties

YOU UNDERSTAND THAT WE CANNOT AND DO NOT GUARANTEE OR WARRANT THAT THE SITES WILL BE FREE OF VIRUSES OR OTHER DESTRUCTIVE CODE. YOU ARE RESPONSIBLE FOR IMPLEMENTING SUFFICIENT PROCEDURES AND CHECKPOINTS TO SATISFY YOUR PARTICULAR REQUIREMENTS FOR ANTI-VIRUS PROTECTION AND ACCURACY OF DATA INPUT AND OUTPUT.

YOUR USE OF THE SITES, THEIR CONTENT, AND ANY SERVICES OR ITEMS OBTAINED THROUGH THE SITES IS AT YOUR OWN RISK. THE SITES, THEIR CONTENT, AND ANY SERVICES OR ITEMS OBTAINED THROUGH THE SITES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. NEITHER ASE NOR ANY PERSON ASSOCIATED WITH ASE MAKES ANY WARRANTY OR REPRESENTATION WITH RESPECT TO THE COMPLETENESS, SECURITY, RELIABILITY, QUALITY, ACCURACY, OR AVAILABILITY OF THE SITES.

TO THE FULLEST EXTENT PROVIDED BY LAW, ASE HEREBY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO ANY WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT, AND FITNESS FOR A PARTICULAR PURPOSE.

7. Limitation of Liability

TO THE FULLEST EXTENT PROVIDED BY LAW, IN NO EVENT WILL ASE, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE SITES, ANY WEBSITES LINKED TO THEM, ANY CONTENT ON THE SITES, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, OR LOSS OF DATA.

IN NO EVENT SHALL THE TOTAL LIABILITY OF ASE AND ITS AFFILIATES TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION (WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE) ARISING FROM THE TERMS OR YOUR USE OF THE SITES EXCEED, IN THE AGGREGATE, ONE HUNDRED U.S. DOLLARS ($100.00).

8. Indemnification

You agree to defend, indemnify, and hold harmless ASE, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms or your use of the Sites.

9. Governing Law and Jurisdiction

All matters relating to the Sites and these Terms, and any dispute or claim arising therefrom or related thereto, shall be governed by and construed in accordance with the internal laws of the State of Delaware without giving effect to any choice or conflict of law provision or rule. Any legal suit, action, or proceeding arising out of, or related to, these Terms or the Sites shall be instituted exclusively in the federal or state courts located in the State of Delaware.

10. Changes to Terms

We may revise and update these Terms from time to time in our sole discretion. All changes are effective immediately when we post them and apply to all access to and use of the Sites thereafter. Your continued use of the Sites following the posting of revised Terms means that you accept and agree to the changes.

11. General Provisions

Severability: If any provision of these Terms is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.

Waiver: No waiver by ASE of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition.

Entire Agreement: These Terms and our Privacy Policy constitute the sole and entire agreement between you and ASE regarding the Sites and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Sites.
